Participant Service Agreement, Assumption of Risk & Release
Master Agreement for Youth Athletic Development Programs
Effective Date: October 15, 2026 | Contact: info@replabbaseball.com | Website: www.replabbaseball.com
Version 2026-10-15-r2
1. Parties; Purpose; Guardian Authority
This Participant Service Agreement (“Agreement”) is between Rep Lab LLC (“Rep Lab”) and the adult parent or legal guardian (“Guardian”) identified in the enrollment record on behalf of the minor athlete (“Participant”). Guardian represents that Guardian is at least 18 years old and authorized to consent to Participant’s enrollment.
This Master Agreement establishes general conditions for Rep Lab services; selecting or signing it does not by itself purchase any future program. Each program purchase requires its own accepted registration details.
2. Services Covered
Rep Lab provides youth baseball instruction and athletic development, potentially including hitting development (mechanics, approach, competitive at-bats, and contact quality); pitching development (throwing mechanics, arm preparation, command, and pitching strategy); age-appropriate foundational strength and resistance training; speed, acceleration, sprinting, jumping, landing, and agility training; and other camps, clinics, competitions, leagues, individual lessons, and group programs.
Descriptions are general and do not guarantee specific methods, coaches, equipment, progression, outcomes, or schedules. For each purchase, a separate Program Enrollment Agreement identifies the selected offering, eligibility, dates, session count, duration, location, and total price and is accepted together with this Master Agreement.
3. Enrollment and Agreement Duration
Each enrollment is limited to the expressly selected offering and cycle set out in a separate Program Enrollment Agreement. Registration is subject to eligibility, capacity, payment, and completion of required documents. A Guardian must provide accurate identity, contact, emergency, and relevant safety information. Each subsequent cycle requires a new Program Enrollment Agreement, separate payment, and affirmative acceptance. Programs do not automatically renew.
4. Fees and Payment
The fee specified and accepted in the separate Program Enrollment Agreement is the charge for that enrollment only. Unless otherwise expressly stated for that enrollment, full payment is required at registration. Cycles do not automatically renew, and later price changes apply only to later purchases. Payments are handled through Stripe or another identified processor.
5. Participant Withdrawal; Refunds and Credits
A Guardian requesting voluntary withdrawal before the first scheduled session must send written notice to info@replabbaseball.com before the session begins. Under Rep Lab’s standard policy, the amount paid becomes a credit toward another eligible program rather than a refund to the original method, except where law requires a refund.
After a program begins, voluntary withdrawal does not ordinarily entitle a customer to a full refund. Rep Lab may grant a partial or full program credit at its discretion for significant illness, injury, family emergency, or similar circumstances. This discretionary credit is not a guaranteed entitlement.
Missed participant sessions (including illness, injury, travel, scheduling, school obligations, or other conflicts) are not eligible for a makeup, credit, or refund as a standard policy. Rep Lab may consider exceptions case by case.
Rep Lab will make reasonable efforts to reschedule individual sessions canceled because of weather, facility issues, staffing, or safety. If replacement is not reasonably available, it will offer an appropriate credit or other legally required remedy.
Rep Lab may make reasonable schedule, coach, and location changes, with reasonable notice of material changes; any required remedies remain available under applicable law.
Transfers between participants or programs require Rep Lab’s advance approval and are subject to eligibility, availability, and pricing differences. Credits are tracked by Rep Lab and expire 12 months after the date issued unless a longer period is required by law; any other restrictions will be disclosed when the credit is issued. No waiver of legally required refund, dispute, or consumer rights is intended.
6. Written Withdrawal and Notices
Program withdrawal requests must be sent in writing to info@replabbaseball.com and identify the Guardian, Participant, and affected enrollment. For program cancellation deadlines, a written email received before the first scheduled session qualifies as a pre-start request, subject to reasonable identity verification and any legally required variation.
Withdrawal of optional promotional media permission follows the separate process in Section 12 and does not itself cancel training enrollment.
7. Conduct and Program Safety
The Participant must follow reasonable coaching instructions, safety directions, and facility rules; use equipment appropriately; and communicate injuries or unsafe conditions. Guardian must support a respectful environment and refrain from materially interfering with instruction.
Rep Lab may suspend or discontinue participation for unsafe, threatening, abusive, or repeatedly disruptive behavior. The availability of credits or refunds following removal is subject to the facts and applicable law.
8. Health; Emergency Assistance
Guardian must disclose relevant injuries, allergies, known health conditions, medical restrictions, emergency contacts, and material changes that could affect safe participation. A Rep Lab coach or authorized representative may immediately pause, restrict, or remove a Participant from a session or program when the coach reasonably observes or suspects an injury, illness, concussion-related symptom, impairment, or other health or safety condition that could make continued activity unsafe for the Participant or others. Rep Lab personnel are not required to diagnose a condition or determine medical fitness. Rep Lab may require written clearance from an appropriately licensed healthcare professional, describing any applicable restrictions, before allowing the Participant to resume some or all activities. Rep Lab may reasonably request clarification of restrictions and may decline return until the clearance and any safety accommodations are sufficient for the planned activity. Guardian remains responsible for communicating relevant medical updates. Any fee, credit, or refund consequences of health-related suspension or removal are governed by Section 5 and applicable law; removal does not create an automatic forfeiture of legally required remedies.
If reasonably necessary during an incident, Guardian authorizes Rep Lab personnel to provide basic first-response assistance and contact emergency medical services, including where Guardian cannot immediately be reached. Qualified professionals remain responsible for medical treatment decisions. Guardian is responsible for related medical charges to the extent legally permitted.
9. Acknowledgment and Assumption of Risk
Guardian understands that training and baseball activities involve foreseeable and unforeseen risks, including strains and overuse injuries, ligament or joint injuries, falls, collisions, being struck by balls or bats, pitching-machine or weight-equipment injuries, concussion, heat illness, worsening preexisting conditions, serious injury, permanent disability, or death.
Injuries may result from athletic exertion, Participant behavior, other persons, equipment, surfaces, facilities, or circumstances despite reasonable precautions. Guardian acknowledges these risks and voluntarily authorizes the minor Participant’s participation. This acknowledgment does not purport to eliminate the minor’s independent claims where law does not permit doing so.
10. Release of Claims for Ordinary Negligence — Adult Claims Only
To the fullest extent permitted by Kansas law, the undersigned adult knowingly and voluntarily releases Rep Lab LLC and its members, coaches, instructors, managers, officers, employees, and agents acting within their Rep Lab responsibilities from claims belonging to the undersigned arising from ordinary negligence in connection with participation in the covered activities, including claims involving alleged negligent instruction, supervision, maintenance, or use of equipment or facilities.
This release does not apply to claims that cannot lawfully be released, including claims arising from gross negligence, reckless or intentional misconduct to the extent prohibited by applicable law.
When signed by a Guardian, this provision applies to claims belonging to the signing adult and does not purport to extinguish independent claims belonging to the minor Participant where prohibited by law.
11. Facilities, Property and Performance Disclaimer
Training may occur at Next Level Development or another disclosed location. Facilities or third parties may impose separate rules or waivers. This Agreement does not automatically release unaffiliated operators or property owners.
Participants remain responsible for personal belongings except to the extent liability cannot lawfully be excluded. Rep Lab does not guarantee exit velocity, pitching velocity, playing time, strength or speed improvements, scholarships, roster placement, recruiting opportunities, or other athletic outcomes.
12. Optional Parental Photo, Video and Media Authorization
THIS AUTHORIZATION IS VOLUNTARY. THE GUARDIAN MUST MAKE A SEPARATE AFFIRMATIVE SELECTION. DECLINING DOES NOT AFFECT PROGRAM ELIGIBILITY.
If Guardian opts in, Guardian authorizes Rep Lab to capture and use identifiable photos, audio, videos, image, voice, and likeness of Participant during covered Rep Lab activities solely to document, describe, educate about, market, or promote Rep Lab LLC and its services.
Permitted channels include www.replabbaseball.com, official Rep Lab social media accounts, Rep Lab print pieces, digital advertising, promotional videos, program communications, and educational/informational Rep Lab content. Rep Lab may crop, caption, edit, combine, and format authorized recordings within those stated purposes, but is not obligated to use them.
Rep Lab will not sell or separately license Participant recordings or likeness to unrelated third parties for their independent promotional purposes. Authorized use may necessarily involve social networks, hosting providers, printing companies, and other operational vendors under their applicable platform and service terms.
No royalty, fee, or compensation is payable to the Participant or Guardian for authorized use.
Guardian may withdraw optional promotional media permission by written email to info@replabbaseball.com identifying the Participant and requesting withdrawal. Following receipt and reasonable verification of the request, Rep Lab will cease new promotional uses of the Participant’s identifiable media and will use reasonable efforts to remove existing identifiable promotional content from Rep Lab-controlled websites, social media accounts, and other digital channels, within 14 calendar days after verification of the request, except where additional time is reasonably necessary due to technical limitations or legal obligations. Rep Lab will notify Guardian of material delays. Withdrawal does not require Rep Lab to retrieve or erase print materials already distributed, media previously downloaded or reshared by third parties, cached copies, or content outside Rep Lab’s reasonable control. Rep Lab will not initiate new distributions of materials containing the Participant after withdrawal, except as legally required. This does not restrict legally required record retention or other uses separately permitted by law.
13. Communications and Privacy
Guardian consents to receive necessary operational communications about enrollment, safety, schedules, and billing at the submitted address. Promotional messages are administered separately as required by law. Rep Lab handles participant information as explained in its separate Privacy Policy.
14. Agreement Termination; Surviving Provisions
A Guardian may withdraw the Participant under Section 5, and Rep Lab may discontinue participation as described in this Agreement, subject to applicable law. Termination of an enrollment does not automatically extinguish valid financial obligations, rights to legally required remedies, prior claims, recordkeeping obligations, or provisions that by their nature govern prior conduct.
15. Governing Law; Severability; Order of Terms
Kansas law governs this Agreement, subject to nonwaivable rights. Invalid provisions are severable to the extent permitted by law. This Master Agreement and the separate, affirmatively accepted Program Enrollment Agreement together constitute the applicable athletic-service agreement for the selected registration. A program-specific exception must be disclosed and affirmatively accepted. In the event of a conflict concerning the specific offering, dates, schedule, session count, location or price, the accepted Program Enrollment Agreement controls those details; this Master Agreement otherwise controls unless a lawful, explicit exception is approved.
Website Terms & Conditions and the Privacy Policy are separate documents. No future version of this Agreement retroactively changes an existing completed enrollment without an enforceable basis.
16. Electronic Signature and Acceptance
Guardian confirms that Guardian has reviewed this Master Agreement and the separate Program Enrollment Agreement for the selected cycle, understands the athlete’s activity risks, agrees to the financial and conduct provisions, understands the adult-only release in Section 10, and authorizes the minor’s participation. An electronic signature authenticates Guardian’s acceptance. Separate acceptance of the Program Enrollment Agreement is required for each purchase.
